By submitting your offer through this page, you, the vendor ("Vendor"), agree to the following terms and conditions: Vendor Form and Credit Form: All Vendors are required to complete and sign a Vendor Form and Credit Form, providing accurate and up-to-date information, prior to submitting any offers. Submission of these forms is a prerequisite for participating in the offer submission process. Offer Submission: By submitting an offer, the Vendor agrees to provide the products and/or services outlined in the offer at the specified price and under the terms and conditions set forth in the offer. The Vendor acknowledges that the submission of an offer does not guarantee acceptance or award of a contract. Compliance with Applicable Laws and Regulations: The Vendor is responsible for ensuring compliance with all applicable laws and regulations governing the provision of the products and/or services offered, including but not limited to, applicable licensing, labor, and health and safety requirements. Confidentiality: The Vendor agrees to treat all information received during the offer submission process as confidential and to not disclose such information to any third parties, except as required by law or with prior written consent from the party providing the information. Representations and Warranties: The Vendor represents and warrants that (a) it has the necessary authority, expertise, and resources to fulfill its obligations under any agreement resulting from the submission of an offer, (b) the products and/or services offered are of high quality and fit for their intended purpose, and (c) it has not and will not engage in any unethical or unlawful practices in relation to the offer submission process or the performance of any resulting agreement. Indemnification: The Vendor agrees to indemnify, defend, and hold harmless the entity receiving the offer submission, its officers, directors, employees, and agents, from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or relating to the Vendor's breach of this Vendor Agreement or the performance of any agreement resulting from the submission of an offer. By clicking the "Submit" button, the Vendor acknowledges that it has read, understood, and agrees to be bound by the terms and conditions of this Vendor Agreement.
